Competition Official Rules
These official rules (“Official Rules” or “Rules”) govern the FARM Rio Summer Dresses Giveaway 2023 contest. The act of entering the contest constitutes acceptance of the Rules as contained herein and of the decisions of Plantage Rio Inc., which are final and binding in all respects. A copy of these Official Rules may also be found at www.farmrio.com.

Dates of Competition:
The Competition begins on June 20th, 2023, and ends on June 22nd, 2023 at 12PM EST (the “Competition Period”). The announcement of the winner should happen on June 22nd, 2023 at 12:30PM EST, on the Instagram account @farmrio.

Sponsor:
SOMA BRANDS INTERNATIONAL GMBH, a company incorporated in Switzerland, the registered office of which is at Baarerstrasse 112, 6300 Zug, Switzerland, registered under company number CHE-433.883.805, also acting on behalf of its Parent Company, it’s Subsidiaries and Affiliated Companies, (hereinafter “FARM Rio”).

Eligibility:
The Contest is open to all Instagram users legal residents of the United States of America, The United Kingdom, and European Union who are eighteen years of age or older as of the date of entry (“Eligible Participants”). Officers, directors, and employees of FARM Rio, or its affiliates, and related companies, and the immediate family members (parents, children, siblings, spouse) or members of the same household (whether related or not) of such officers, directors, and employees are not eligible to participate in the Competition (the “Participants”). Residents of jurisdictions where participation or entry into the Contest is not foreseen in this terms and conditions are not eligible to participate in the Contest.
The Competition is subject to all applicable New York laws and regulations and is void where prohibited.

Agreement to Rules:
By participating in the Competition, the Participant fully and unconditionally agree to be bound by these Official Rules and the decisions of FARM Rio, which will be final and binding in all matters relating to the Competition.

How to enter:
During the Competition Period, Eligible Participants must follow @FARMRIO on Instagram to be eligible to enter. Eligible Participants can enter the contest by posting a comment tagging 1 (one) valid Instagram user (not including brands’, verified, nor celebrities' profiles) on FARM Rio’s official competition post. Eligible Participants may make multiple comments, which will each represent a chance to be drawn.
There is NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY to participate in the Sweepstakes. A purchase does not improve your chance of winning.
Participants shall previously ensure to have the consent of their friends, before entering their friends’ personal details (Instagram pseudonym). FARM Rio declines any liabilities related to such sharing without consent.
By participating in the Competition, Participant accepts these Official Rules.

Prize:
The Prize described below will be awarded to the Winner, who must be Participant and who meet the Terms and Conditions of participation.

The Prize is made up as follows:
1 (one) gift card of $800 (eight hundred dollars) to be used on FARM Rio website until December 31st, 2023.
Under no circumstances can the prize be used by the winner after the date determined above.
FARM Rio reserves the right to replace all or part of the Prize with similar product(s) and/or value in the event of unavailability.
The Prize is awarded “as is” with no warranty or guarantee, either express or implied. The right to receive the Prize is not transferable, and no substitutions or cash equivalents are permitted except at FARM Rio sole discretion or as otherwise provided herein. FARM Rio will not replace the Prize, if it is lost or stolen or canceled. Any and all Prize-related expenses, including without limitation any and all federal, state, and local taxes, shall be the sole responsibility of the Winner.
By accepting the Prize, the Winner grant their permission for FARM Rio to use their names, cities, states and countries on all media known or unknown to date, in particular the internet and social networks, for purposes of advertising and trade without further consent or compensation other than the Prize won, unless prohibited by law.

Winner selection and notification:
The selection of the winner will be made through a draw, which will use as numbers the comments made by the contestants on a specific Instagram post made by FARM Rio, where the contestants will tag the name of a friend's Instagram user (within the rules already established in these terms and conditions).
In order to receive the Prize, the potential Winner must reply by Instagram private message to communicate with FARM Rio team to set the delivery conditions of the Prize within two (2) working days. If a potential Winner fails to timely respond, or is found to be, in FARM Rio’s sole discretion, ineligible or in violation of these Official Rules, such potential Winner and their entry will be disqualified, and an alternate Winner will be selected from all remaining eligible entries. The Prize will be sent, or made available to the Winner until 12:30PM EST, June 22nd, 2023.
If there are possible delays and the shipment, or availability is not made on the date mentioned, FARM Rio will determine another reasonable date for shipment/availability, which will not exceed 30 business days from the date initially planned for shipment/ availability.

General Terms:
Decisions made by FARM Rio are final in all matters, including interpretation of these Official Rules and awarding of the Prize. Participants assume all risk of loss, damage, destruction, delay, or misdirection of Competition materials submitted to FARM Rio. FARM Rio reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Competition, or any part of it, if any virus, bugs, other technical failures, non-authorized human intervention, fraud, or any other causes beyond FARM Rio 's control impair the administration, security, integrity, or proper functioning of the Competition, as determined by FARM Rio in its sole discretion.
FARM Rio at its sole discretion reserves the right to disqualify any Participants it finds to be tampering with or attempting to tamper with the entry process or the operation of the Competition or to be acting in violation of these Official Rules. Any attempt by a Participant to deliberately damage or undermine the legitimate operation of the Competition may be a violation of criminal and civil laws, and, should such an attempt be made, FARM Rio reserves the right to seek damages from any Participant to the fullest extent permitted by law. FARM Rio failure to enforce any term of these Official Rules shall not constitute a waiver of that term. By participating in the Competition, the Participant, fully and unconditionally agree to respect all the terms of use of the Instagram website available at https://help.instagram.com/.

Release:
By participating in the Competition, Participant agree to release from liability and hold harmless FARM Rio, its parent company, affiliates, and related companies, and each of their respective officers, directors, and employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Competition or the receipt or use or misuse of any Prize.

Limitation of Liability:
FARM Rio is not responsible for: (1) any incorrect or inaccurate information, whether caused by Participant, printing errors, or any of the equipment or programming associated with or utilized in the Competition; (2) technical failures of any kind, including, but not limited to, malfunctions, delays, interruptions, or disconnections in phone lines or network hardware or software; (3) technical or human error which may occur in the administration of the Competition or the processing of entries; (4) late, lost, undeliverable, damaged, stolen, misdirected, or postage-due entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, by Participant’s participation in the Competition or receipt or use or misuse of any Prize.

Disputes:
This Competition is governed by the laws of New York without respect to conflict of law doctrines. As a condition of participating in this Competition, Participant agrees that any and all causes of action arising out of or connected with this Competition shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York, NY, USA. Further, under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than Participant’s actual out-of-pocket expenses, and Participant further waives all rights to have damages multiplied or increased.

Winner Name and Rules:
For the name of the Winner and/or a copy of these Official Rules, send a self-addressed stamped envelope to: FARM Rio NY, 113 Prince Street, New York, NY, 100122. All requests for a copy of the Official Rules and the names of Winner must be made by December 31st 2023.
