Welcome to the FARM Rio Club by FARM Rio. The program is designed to create an exclusive community and celebrate our most valued customers with exclusive benefits and rewards. By participating in the FARM Rio Club, you agree to accept the current version of these terms and conditions and acknowledge that you have read, understood and consented to (a) the Terms & Conditions for farmrio.com, available at https://farmrio.com/pages/terms-conditions and (b) the FARM Rio Privacy Policy, which describes how we collect, use and share information, available at https://farmrio.com/pages/privacy-policy.


Eligibility and participation: To participate in the FARM Rio Club you must be at least 18 years old and currently reside in the United States. The program is available for online purchases from farmrio.com only and in-store purchases in FARM Rio company-owned stores in the United States only.


Membership & Enrollment: New customers can join the program by creating an account on farmrio.com and subscribing to email marketing. Existing customers can activate their membership by signing into their account and subscribing to email marketing. Membership is personal to you and your unique email address and cannot be transferred, shared, or assigned. Each member must maintain only one account and use the same email address for new purchases and redemption of benefits. Continued opt-in to receive marketing and update emails is required to maintain your Club membership, status tier, and receive updates.


Tier Structure & Benefits


  1. FARM Rio Club membership is divided into tiers, with higher tiers granting you access to additional benefits.

  1. Members earn higher tier status based on purchases on farmrio.com, excluding returns, cancellations, discounts or taxes calculated based on the USD value at the time of each purchase, using Shopify's international conversion rates (your “Spend”).

  1. The tiers and their minimum annual Spend (as defined below) are set out below:

        • Tier 1: Member (base membership tier – no purchase required)
        • Tier 2: Bloomer (minimum annual Spend of $150)
        • Tier 3: Wanderer (minimum annual Spend of $500)
        • Tier 4: Ambassador (minimum annual Spend of $1,500).

  1. Your annual Spend is based on your total Spend in the current calendar year and can take up to 30 days to be updated after a new order has been fulfilled to account for returns, adjustments, discounts, refunds, taxes, shipping cost or cancellations.

  1. At the beginning of each calendar year, your annual Spend will reset to zero, and your starting status in the new year will be based on your annual Spend in the previous year. You will maintain your current status tier or unlock a higher status tier based on your Spend in the new calendar year. If your annual Spend in any calendar year is not at least the minimum annual Spend for your current tier, you will maintain your status during the current year based on your previous year’s annual Spend, but your status the following year will be based on your reduced annual Spend. For example, if you attain Ambassador status in year 1, you will have Ambassador status in year 2, but if you only spend $600 in year 2, your starting status in year 3 will be Wanderer.

  1. As part of our club, you may enjoy a range of benefits based on your status tier, including but not limited to exclusive offers, early access to promotions, unique experiences, and curated content. These may vary or change depending on availability and can be discontinued anytime without notice.


Account Activity & Termination: Inactive accounts, accounts with fraudulent activity, or accounts that abuse any benefits, as determined by FARM Rio in its sole discretion, may be terminated or suspended without warning or compensation.


Updates to the FARM Rio Club Terms: We’re constantly evolving, and the FARM Rio Club is no exception. FARM Rio reserves the right to modify these Terms, adjust, pause, update or terminate the program at any time without prior notice, including changes to tier status, criteria, benefits and rewards. Members will be notified of significant changes and updates via their registered email account.


Data Privacy: FARM Rio respects your privacy. Participation in the program involves the collection and use of your personal information, and any and all personal information you provide to FARM Rio in connection with the FARM Rio Club will be handled in accordance with our Privacy Policy, available at: https://farmrio.com/pages/privacy-policy


Dispute Resolution: Any disputes related to the FARM Rio Club should be directed to FARM Rio's customer service team by email at hello@FARMRio.com. Each of you and FARM Rio agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.


AGREEMENT TO BINDING ARBITRATION: IF THE PARTIES DO NOT REACH AN AGREED UPON SOLUTION WITHIN A PERIOD OF THIRTY (30) DAYS FROM THE TIME INFORMAL DISPUTE RESOLUTION IS PURSUED AS SET FORTH ABOVE, THEN ANY REMAINING CONTROVERSY OR CLAIM ARISING OUT OF YOUR USE OF THE WEBSITE, YOUR PURCHASE FROM FARM Rio OR THESE TERMS OF SERVICE SHALL BE SETTLED BY BINDING ARBITRATION BEFORE JAMS IN A LOCATION DETERMINED BY THE ARBITRATOR AS SET FORTH HEREIN (PROVIDED THAT SUCH LOCATION IS REASONABLY CONVENIENT FOR CLAIMANT), OR AT SUCH OTHER LOCATION AS MAY BE MUTUALLY AGREED UPON BY THE PARTIES, IN ACCORDANCE WITH THE PROCEDURAL RULES FOR COMMERCIAL DISPUTES SET FORTH IN THE COMPREHENSIVE ARBITRATION RULES AND PROCEDURES OF JAMS (“JAMS RULES AND PROCEDURES”) THEN PREVAILING, AND JUDGMENT UPON THE AWARD RENDERED BY THE ARBITRATOR(S) MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. THE ARBITRATOR, AND NOT ANY FEDERAL, STATE OR LOCAL COURT OR AGENCY, SHALL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ALL DISPUTES ARISING OUT OF OR RELATING TO THE INTERPRETATION, APPLICABILITY, ENFORCEABILITY OR FORMATION OF THESE TERMS OF USE, INCLUDING, BUT NOT LIMITED TO ANY CLAIM THAT ALL OR ANY PART OF THESE TERMS OF USE ARE UNLAWFUL, VOID OR VOIDABLE. THE ARBITRATOR SHALL BE EMPOWERED TO GRANT WHATEVER RELIEF WOULD BE AVAILABLE IN A COURT UNDER LAW OR IN EQUITY.


THE PARTIES UNDERSTAND THAT, IN LIGHT OF THIS MANDATORY ARBITRATION PROVISION, THEY ARE WAIVING THEIR RIGHTS TO SUE IN COURT AND HAVE THEIR DISPUTES RESOLVED BY A JUDGE OR JURY TRIAL.


THE ARBITRATOR SHALL BE SELECTED PURSUANT TO THE JAMS RULES AND PROCEDURES. THE ARBITRATOR SHALL APPLY NEW YORK LAW CONSISTENT WITH THE FEDERAL ARBITRATION ACT AND APPLICABLE STATUTES OF LIMITATIONS, AND SHALL HONOR CLAIMS OF PRIVILEGE RECOGNIZED AT LAW. IN THE EVENT THAT THE CLAIMANT IS ABLE TO DEMONSTRATE THAT THE COSTS OF ARBITRATION WILL BE PROHIBITIVE AS COMPARED TO THE COSTS OF LITIGATION, FARM Rio WILL PAY AS MUCH OF THE CLAIMANT’S FILING AND HEARING FEES IN CONNECTION WITH THE ARBITRATION AS THE ARBITRATOR DEEMS NECESSARY TO PREVENT THE ARBITRATION FROM BEING COST-PROHIBITIVE. IF ANY PART OF THIS ARBITRATION PROVISION IS DEEMED TO BE INVALID, UNENFORCEABLE OR ILLEGAL (OTHER THAN THAT CLAIMS WILL NOT BE ARBITRATED ON A CLASS OR REPRESENTATIVE BASIS), OR OTHERWISE CONFLICTS WITH THE JAMS RULES AND PROCEDURES, THEN THE BALANCE OF THIS ARBITRATION PROVISION SHALL REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH ITS TERMS AS IF THE INVALID, UNENFORCEABLE, ILLEGAL OR CONFLICTING PROVISION WERE NOT CONTAINED HEREIN. IF, HOWEVER, THE PORTION THAT IS DEEMED INVALID, UNENFORCEABLE OR ILLEGAL IS THAT CLAIMS WILL NOT BE ARBITRATED ON A CLASS OR REPRESENTATIVE BASIS, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND NEITHER CLAIMANT NOR FARM Rio SHALL BE ENTITLED TO ARBITRATE THEIR DISPUTE.


CLASS ACTION AND CLASS ARBITRATION WAIVER: YOU AND FARM RIO EACH FURTHER AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN THEIR RESPECTIVE INDIVIDUAL CAPACITIES ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION, AND YOU AND FARM Rio EACH EXPRESSLY WAIVE YOUR RESPECTIVE RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. IF ANY COURT OR ARBITRATOR DETERMINES THAT THE CLASS ACTION WAIVER SET FORTH IN THIS PARAGRAPH IS VOID OR UNENFORCEABLE FOR ANY REASON OR THAT AN ARBITRATION CAN PROCEED ON A CLASS BASIS, THEN THE ARBITRATION PROVISION SET FORTH ABOVE IN SECTION (B) SHALL BE DEEMED NULL AND VOID IN ITS ENTIRETY AND THE PARTIES SHALL BE DEEMED TO HAVE NOT AGREED TO ARBITRATE DISPUTES AND SUCH CLASS ACTION SHALL PROCEED CONSISTENT WITH SECTION (f) BELOW.


Limitation of Liability: FARM Rio Club is not responsible for any loss, damage, or inconvenience resulting from your participation in the Program, to the fullest extent permitted by law. By participating in FARM Rio Club, you acknowledge and agree that your FARM Rio Club membership and status have no monetary value and, in the event your membership and/or status are terminated, you will not be entitled to any compensation or damages.


Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its principles of conflicts of law. The parties agree that any litigation between them shall be filed exclusively in state or federal courts located in New York. The parties expressly consent to exclusive jurisdiction in New York for any litigation commenced by either party and relating to the subject of these Terms.


Acceptance of Terms: By participating in the FARM Rio Club Loyalty Program, you acknowledge that you have read, understood, and agreed to be bound by these Terms; the Terms & Conditions for farmrio.com, available at https://farmrio.com/pages/terms-conditions; and the FARM Rio Privacy Policy, which describes how we collect, use and share information, available at https://farmrio.com/pages/privacy-policy.
